1. Acceptance of Terms

These Terms govern your access to and use of the GovernXis platform and services provided by Governxis Technologies. By creating an account or using the Services, you agree to these Terms and our Privacy Policy.

2. Description of Services

GovernXis is an enterprise platform for AI governance, risk management, and regulatory compliance, including the platform portal, REST API, AI system registry, risk assessment, compliance monitoring, and audit logging.

3. Account Registration

You must register with accurate information and are responsible for maintaining the confidentiality of your credentials, all account activity, and compliance of all users in your organisation.

4. Acceptable Use

You must use the Services only for lawful purposes. You must not:

• Violate any applicable law or regulation
• Attempt unauthorised access to any part of the platform
• Transmit malicious code, viruses, or harmful software
• Reverse-engineer, decompile, or disassemble the platform
• Resell access to the Services without written permission

5. Your Data

You retain full ownership of all data you submit to the platform. You grant us a limited licence to process it solely to provide the Services. We will not access or share Your Data except as necessary to provide the Services or as required by law.

6. Intellectual Property

The GovernXis platform, software, and brand are owned by Governxis Technologies. These Terms do not grant you any ownership rights to our intellectual property.

7. Confidentiality

Both parties will maintain confidentiality of non-public information exchanged under these Terms for five years following termination. Confidential information includes business plans, technical data, and customer information.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be notified in advance where possible. We are not liable for any service interruptions beyond our reasonable control.

9. Disclaimer of Warranties

The Services are provided "as is" without warranty of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

Our total aggregate liability shall not exceed fees paid by you in the preceding 12 months. We are not liable for any indirect, incidental, special, or consequential damages.

11. Termination

Either party may terminate with written notice. Upon termination, you may export Your Data within 30 days. We may terminate immediately for material breach of these Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes

We will provide at least 30 days' notice of material changes to these Terms. Continued use after the effective date constitutes acceptance of the updated Terms.
